ZITPY - INTELLECTUAL PROPERTY OWNERSHIP POLICY

This Intellectual Property Policy forms part of the Zitpy Master Services Agreement (MSA) between Media N Screen Ltd trading as Zitpy and the Client.

1. OWNERSHIP BEFORE PAYMENT

1.1 All intellectual property created by Zitpy, including:

  • Images
  • Videos
  • Graphics
  • Copy
  • Campaigns
  • Strategies

remains the exclusive property of Zitpy until full payment is received.

2. OWNERSHIP AFTER PAYMENT

2.1 Upon full payment, ownership transfers to the Client unless otherwise stated in writing.

2.2 Zitpy retains:

  • All working files
  • Methods
  • Templates
  • Source files unless expressly agreed

3. LICENCE BACK TO ZITPY

The Client grants Zitpy a perpetual, royalty-free licence to:

  • Display work in portfolios
  • Use anonymised case studies
  • Showcase results for marketing

4. THIRD-PARTY MATERIAL

Any third-party content (music, fonts, stock images) is licensed, not owned. The Client agrees to comply with licensing terms.

5. MISUSE

The Client may not:

  • Resell content
  • Give content to third parties
  • Modify for resale

without written consent.

6. BREACH

Unauthorised use constitutes copyright infringement and a material breach of contract.

7. GOVERNING LAW

This Policy is governed by the laws of England and Wales.

ZITPY - CONTENT USAGE LICENCE

This Content Usage Licence forms part of the Zitpy Master Services Agreement (MSA) between Media N Screen Ltd trading as Zitpy and the Client.

1. GRANT OF LICENCE

Upon full payment, Zitpy grants the Client a non-exclusive, non-transferable licence to use the delivered content solely for the Client’s own business marketing.

2. PERMITTED USE

The Client may use content on:

  • Social media platforms
  • Google Business Profile
  • Websites
  • Digital advertising

only for the Client’s own brand and marketing.

3. PROHIBITED USE

The Client may not:

  • Sell, sublicense, or transfer the content
  • Use the content for third parties
  • Include content in template packs
  • Use it in unrelated businesses

without written permission.

4. MODIFICATION

The Client may not materially alter content without Zitpy’s written consent if such alteration may damage Zitpy’s reputation.

5. TERMINATION OF LICENCE

The licence terminates automatically if:

  • Payment is reversed or refunded
  • The Client breaches this Agreement

All content must be removed immediately.

6. ENFORCEMENT

Unauthorised use constitutes copyright infringement.

7. GOVERNING LAW

This Licence is governed by the laws of England and Wales.

ZITPY - CONTENT APPROVAL & REVISION POLICY

This Content Approval & Revision Policy forms part of the Zitpy Master Services Agreement (MSA) between Media N Screen Ltd trading as Zitpy and the Client.

1. CONTENT APPROVAL

1.1 Zitpy will submit content to the Client for approval where required.

1.2 The Client must approve or request changes within 3 business days unless otherwise agreed.

1.3 Failure to respond within this period shall be deemed approval.

2. INCLUDED REVISIONS

2.1 The number of included revisions will be specified in the Service Schedule or proposal.

2.2 Revisions are limited to:

  • Text edits
  • Minor visual changes

Major changes or new creative directions are chargeable.

3. ADDITIONAL REVISIONS

3.1 Additional revisions are charged at Zitpy’s standard hourly or project rate.

3.2 Work on additional revisions will not commence until fees are agreed.

4. CLIENT RESPONSIBILITY

The Client is responsible for:

  • Reviewing accuracy
  • Legal compliance
  • Brand correctness

Approval confirms acceptance of responsibility.

5. URGENT CHANGES

Rush changes may attract additional charges.

6. GOVERNING LAW

This Policy is governed by the laws of England and Wales.

ZITPY - PRODUCTION CANCELLATION & RESCHEDULING POLICY

This Policy applies to all content production services provided by Media N Screen Ltd trading as Zitpy.

1. BOOKING & SCHEDULING

1.1 All shoot dates, filming, photography, and production time are reserved in advance.

1.2 Bookings are confirmed once agreed in writing.

2. CLIENT CANCELLATION

If the Client cancels:

  • More than 14 days before → No charge
  • 7–14 days before → 50% charge
  • Less than 7 days before → 100% charge

This reflects lost time, crew, and equipment costs.

3. RESCHEDULING

Rescheduling is permitted once without charge if requested more than 14 days in advance. Further reschedules may incur fees.

4. CLIENT DELAYS & NO-SHOWS

If the Client:

  • Is not ready
  • Fails to provide access
  • Does not attend

The session is deemed completed and charged in full.

5. FORCE MAJEURE

Delays caused by weather, illness, or third-party failures may require rescheduling without penalty to Zitpy.

6. GOVERNING LAW
