ZITPY - SERVICE SCHEDULE & SCOPE OF WORK
This Service Schedule forms part of the Zitpy Master Services Agreement (MSA) between Media N Screen Ltd trading as Zitpy and the Client.
1. PURPOSE OF THIS SERVICE SCHEDULE
1.1 This Schedule defines the specific services, deliverables, limitations, and responsibilities applicable to services provided by Zitpy.
1.2 Services not expressly listed in this Schedule are excluded unless agreed in writing.
2. SOCIAL MEDIA MANAGEMENT SERVICES
2.1 Scope of Services
Zitpy may provide the following services, subject to the selected package:
- Account management for agreed platforms (e.g. Instagram, Facebook, TikTok, LinkedIn)
- Content scheduling and posting
- Caption writing and hashtag strategy
- Basic community monitoring (likes, comments, messages where agreed)
- Monthly performance reporting
2.2 Exclusions
Unless expressly agreed, the following are excluded:
- Paid advertising management
- Influencer outreach
- Direct sales or lead guarantees
- Crisis management outside normal working hours
- Platform account recovery
2.3 Client Responsibilities
The Client must:
- Provide timely approvals
- Ensure ownership or licensing rights for all supplied content
- Comply with platform rules and advertising standards
Failure to provide approvals or content may delay delivery without liability to Zitpy.
2.4 Performance Disclaimer
Zitpy does not guarantee:
- Follower growth
- Engagement levels
- Sales, leads, or revenue
- Algorithm placement or reach
3. GOOGLE BUSINESS PROFILE & REVIEW MANAGEMENT
3.1 Scope of Services
Where selected, Zitpy may provide:
- Google Business Profile optimisation
- Business information updates
- Review monitoring and response drafting
- Reputation guidance and reporting
3.2 Review & Ranking Disclaimer
The Client acknowledges:
- Google controls rankings and review moderation
- Zitpy cannot guarantee review removal
- Fake, incentivised, or misleading reviews are prohibited
Zitpy shall not be liable for platform decisions or penalties.
3.3 Client Authorisation
The Client must grant Zitpy appropriate access and authority to manage the profile. Any loss of access caused by the Client or Google is outside Zitpy’s control.
4. CONTENT CREATION & PRODUCTION
4.1 Scope of Services
Subject to agreement, Zitpy may deliver:
- Photography
- Video production
- Graphic design
- Copywriting and captions
- Short-form and long-form content
4.2 Revisions
- The number of revisions included will be defined per project
- Additional revisions are chargeable
- Approval silence beyond agreed timelines may be deemed acceptance
4.3 Production Scheduling
- Shoot dates are subject to availability
- Weather, access, and third-party delays may require rescheduling
- Late cancellations may incur fees
4.4 Ownership & Usage
- Ownership transfers only after full payment
- Zitpy retains portfolio and case study rights unless agreed otherwise
- Resale or third-party use requires written consent
5. DELIVERY TIMELINES
5.1 Delivery timelines are estimates only and may vary based on:
- Client responsiveness
- Platform approvals
- External dependencies
5.2 Delays caused by the Client do not constitute breach by Zitpy.
6. COMMUNICATION & REPORTING
6.1 Primary communication will be via email or agreed platforms.
6.2 Reporting frequency (weekly/monthly) will be defined per package.
7. SERVICE CHANGES & ADDITIONAL WORK
7.1 Any services outside this Schedule require written approval and may incur additional fees.
7.2 Zitpy reserves the right to update services to remain compliant with platform rules or law.
8. SUSPENSION OF SERVICES
Zitpy may suspend services if:
- Payment terms are breached
- Client fails to provide required access or approvals
- Continued delivery would breach law or platform rules
9. PRIORITY & CONFLICT
In the event of conflict:
- The MSA prevails, followed by this Schedule, then any proposal or invoice.
10. ACCEPTANCE
By proceeding with services, the Client confirms acceptance of this Service Schedule.
