ZITPY - PAYMENT & LATE PAYMENT POLICY

This Payment & Late Payment Policy forms part of the Zitpy Master Services Agreement (MSA) between Media N Screen Ltd trading as Zitpy and the Client.

1. FEES & INVOICING

1.1 All fees are set out in the Client's Service Schedule, proposal, or invoice.

1.2 Invoices will be issued electronically unless otherwise agreed.

1.3 Fees are exclusive of VAT unless expressly stated.

2. PAYMENT TERMS

2.1 All invoices must be paid within three (3) days of the invoice date.

2.2 Payment must be made in full without deduction, set-off, or counterclaim.

2.3 Failure to pay within this period constitutes a material breach of contract.

3. LATE PAYMENT INTEREST

3.1 Zitpy reserves the right to charge interest on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998.

3.2 Interest will accrue at 8% above the Bank of England base rate, calculated daily.

3.3 Zitpy may also recover:

  • Fixed late payment compensation
  • Reasonable debt recovery costs
  • Legal fees incurred

4. SUSPENSION OF SERVICES

4.1 Zitpy may immediately suspend all services if any invoice remains unpaid beyond its due date.

4.2 Zitpy is not liable for:

  • Loss of data
  • Loss of reach, engagement, or rankings
  • Missed posting schedules
  • Platform penalties during suspension

5. NO REFUNDS FOR SUSPENSION

5.1 Services paused due to non-payment are not refundable.

5.2 Reactivation may require payment of all outstanding balances plus a reinstatement fee.

6. ONGOING CHARGES

6.1 Subscription, retainer, and campaign-based fees continue to accrue during any dispute or suspension unless expressly terminated in writing.

7. DISPUTED INVOICES

7.1 Any dispute must be raised in writing within 3 days of invoice date.

7.2 Undisputed amounts must still be paid in full.

8. TERMINATION FOR NON-PAYMENT

Zitpy may terminate services immediately if:

  • Payment is overdue by more than 7 days
  • The Client fails to resolve a payment breach

All outstanding fees remain payable.

9. GOVERNING LAW

This Policy is governed by the laws of England and Wales.
